Terms of Service

1. Definitions

• ●"Services" means company registration, GST registration and filing, compliance management, annual filings, tax advisory, and all other services offered through the Platform.
• ●"KYC Documents" means identity proofs, address proofs, photographs, signatures, PAN, Aadhaar, and all other documents required for government filings and service delivery.
• ●"Government Authorities" means MCA, GST Network, Income Tax Department, EPFO, ESIC, ROC, and any other applicable statutory or regulatory authority.
• ●"Fees" means the amounts payable by the User for the Services, as displayed on the Platform at the time of purchase.
• ●"Professional Partners" means Chartered Accountants, Company Secretaries, Advocates, and other professionals engaged by the Company for service delivery.

2. Eligibility

• ●You must be at least 18 years of age to use the Platform.
• ●You must be a resident of India or an entity incorporated/registered under Indian law.
• ●You must have the legal capacity and authority to enter into this Agreement.
• ●If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms.
• ●You must possess a valid PAN and other identification documents as required under applicable Indian law.

3. Account Registration

• ●You must provide accurate, complete, and current information during registration.
• ●You are solely responsible for maintaining the confidentiality of your account credentials (password, OTP, etc.).
• ●You are responsible for all activities that occur under your account.
• ●You must notify us immediately of any unauthorised use of your account at security@udyog360.com.
• ●We reserve the right to suspend or terminate accounts that provide false, inaccurate, or misleading information.
• ●One individual or entity may maintain only one account unless expressly authorised by us.

5. User Obligations – KYC and Document Submission

• ●You are solely responsible for furnishing all KYC documents, identity proofs, address proofs, photographs, signatures, and any other documents required for your chosen service.
• ●All documents provided must be genuine, valid, current, and legally obtained. Submitting forged, expired, tampered, or fraudulent documents is a criminal offence under Indian law and will result in immediate termination of services without any refund.
• ●You must ensure that all information provided is accurate and matches across all documents.
• ●If any government application is rejected, delayed, or denied due to invalid, incomplete, inconsistent, or fraudulent documents furnished by you, the Company shall bear no responsibility or liability whatsoever.
• ●If your company registration, GST registration, or any compliance filing fails due to deficient documents provided by you, no refund shall be issued.
• ●You must respond to our requests for additional documents or information within the timelines specified.
• ●You must ensure that your Digital Signature Certificate (DSC), if required, is valid and active.

6. Fees and Payment

• ●All Fees are displayed on the Platform in Indian Rupees (INR) and are inclusive of GST unless stated otherwise.
• ●Government fees, stamp duty, and other statutory charges are separate and payable in addition to our service fees.
• ●Payment must be made in full before service commencement unless otherwise agreed in writing.
• ●We accept payments via UPI, net banking, debit cards, credit cards, and other methods available on our payment gateway.
• ●All payments are processed through PCI-DSS compliant third-party payment gateways. We do not store your card details.
• ●Invoices/receipts will be generated and available in your account dashboard.
• ●Prices are subject to change without prior notice. Changes will not affect services already purchased.

8. Limitation of Liability

• ●Any rejection, delay, or denial of applications by Government Authorities for any reason whatsoever
• ●Any loss, damage, or consequence arising from invalid, incomplete, fraudulent, or deficient KYC documents or information provided by you
• ●Any failure of company incorporation, GST registration, or any compliance filing due to reasons attributable to the User
• ●Any penalties, fines, interest, or prosecution arising from delayed or incorrect filings caused by the User's failure to provide timely and accurate information
• ●Any downtime, technical errors, server failures, or interruptions in the Platform's availability
• ●Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of goodwill, or loss of data
• ●Any actions, decisions, or omissions of Government Authorities
• ●Any changes in law, regulation, or government policy that affect the Services
• ●Any loss arising from unauthorised access to your account due to your failure to maintain account security
• ●Third-party service failures including payment gateway errors, email delivery failures, or SMS gateway issues

In no event shall the Company's total aggregate liability exceed the Fees actually paid by you for the specific Service giving rise to the claim, in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless 360VentureStudios, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, and Professional Partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• ●Your breach of these Terms
• ●Your violation of any applicable law or regulation
• ●Your submission of false, fraudulent, or misleading documents or information
• ●Any third-party claims arising from your use of the Services
• ●Your infringement of any intellectual property or other rights of any person or entity

10. Intellectual Property

• ●All content, design, graphics, logos, trademarks, trade names, software, and other intellectual property on the Platform are owned by or licensed to 360VentureStudios and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India.
• ●You may not copy, reproduce, modify, distribute, display, perform, or create derivative works from any content on the Platform without our prior written consent.
• ●"Udyog360", "360VentureStudios", and associated logos are trademarks of 360VentureStudios. Unauthorised use is strictly prohibited.

11. Prohibited Conduct

You agree not to:

• ●Use the Platform for any unlawful purpose or in violation of any applicable Indian law
• ●Submit forged, stolen, or fraudulent documents
• ●Impersonate any person or entity
• ●Interfere with or disrupt the Platform's infrastructure or security
• ●Attempt to gain unauthorised access to any part of the Platform, other accounts, or computer systems
• ●Use automated tools (bots, scrapers, crawlers) to access the Platform without prior written permission
• ●Engage in money laundering, tax evasion, or any financial crime using our Services
• ●Use the Services to incorporate shell companies or entities for illegal purposes
• ●Resell, sublicense, or commercially exploit the Platform or Services without authorisation

12. Termination

• ●We may suspend or terminate your access to the Platform at any time, without prior notice, for any reason including breach of these Terms.
• ●You may close your account by contacting support@udyog360.com. Account closure does not entitle you to any refund of Fees paid.
• ●Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive.
• ●We may retain your data post-termination as required by applicable law (see Privacy Policy for retention periods).

13. Disclaimers

• ●We do not warrant that the Platform will be uninterrupted, error-free, virus-free, or secure.
• ●We do not provide legal, tax, or financial advice. Our Services are facilitation services only.
• ●Any estimates of timelines provided are indicative only and not guaranteed.
• ●Information on the Platform (blogs, guides, calculators) is for general informational purposes only and does not constitute professional advice.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government actions or orders, changes in law, strikes, lockouts, internet or telecommunication failures, server outages, power failures, riots, civil disturbances, war, terrorism, or any other force majeure event.

15. Dispute Resolution

• ●Any dispute shall first be attempted to be resolved through good-faith negotiation for thirty (30) days.
• ●If unresolved, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended.
• ●Arbitration shall be conducted by a sole arbitrator appointed mutually, or by the competent court in default.
• ●The seat and venue of arbitration shall be Gurgaon, Haryana, India.
• ●The language of arbitration shall be English.
• ●The arbitral award shall be final and binding on both parties.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts located in Gurgaon, Haryana, India shall have exclusive jurisdiction.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18. Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver. Any waiver must be in writing and signed by an authorised representative.

19. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and 360VentureStudios regarding your use of the Platform.

20. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on the Platform with an updated "Last updated" date. Your continued use constitutes acceptance of the revised Terms.
